Partial Amendments to the Articles of Incorporation
At a meeting held on February 10, 2012, the Board of Directors of Kirin Holdings Company, Limited ("Kirin") resolved to table a proposition, Partial Amendments to the Articles of Incorporation, at Kirin's 173rd Ordinary General Meeting of Shareholders scheduled for March 29, 2012. Details are as follows:
1. Purpose of the Amendments
In order to ensure a wide range of choices for the location of general meetings of shareholders, the Company proposes the deletion of Article 13, paragraph 3 in the existing Articles of Incorporation, which limits the locations of general meetings of shareholders.

The details of the Amendments in the Articles of Incorporation are as follows:
